Senior Legal Counsel Commercial
What will you do?
- Commercial Negotiations and Contract Review and Drafting
- Manage and negotiate a variety of strategic and complex commercial and strategic partnership agreements supportive of bpost transformational ambitions including its postal, logistics and banking & insurance related activity.
- Collaborate with business teams to structure deals to support organisational goals while mitigating legal risks;
- Draft, review and negotiate a variety of complex contracts;
- Work closely with internal stakeholders to ensure contracts reflect the company’s interests and adhere to legal standards.
- Litigation Management:
- Oversee and coordinate disputes and litigations including development of litigation strategy in collaboration with external legal counsel when needed;
- Report on case evolution, trends and significant files, and make informed recommendations based on reporting;
- M&A transactions
- Lead and oversee the legal aspects of M&A transactions from time to time;
- Provide strategic legal advice on potential risks and opportunities associated with M&A activities;
- Legal compliance
- Stay abreast of relevant laws and regulations impacting the company’s operations and ensure legal compliance in all business activities including its postal, logistic and banking and insurance related activities.
- Develop and implement legal policies to mitigate risks and promote best practices.
- Team Collaboration
- Collaborate closely with cross-functional teams on a variety of topics, providing legal guidance and support to different business departments within the organization;
- Collaborate closely with legal staff, fostering a collaborative and knowledge-sharing.
- Pro-active business partner
- Foster a pro-active understanding of internal customers’ legal needs;
- Manage multiple tasks and activities effectively, prioritizing in alignment with business strategy and legal requirements.
Who are you?
- You have a proven track record of at least 10 years of experience, as an attorney or inhouse legal counsel in a medium or large company, with a focus on corporate/M&A/commercial negotiations.
- You have a Master degree in Law; a master after master is a plus.
- You have a proven track record in transactional work, including successfully leading and closing M&A transactions.
- Knowledge of banking & insurance law is a plus.
- You excel at stakeholder management (internally and externally) and know how to lead different types of negotiations.
- You are a business enabler and know how to make Legal a true business partner for the further development of the business.
- You have full professional proficiency in English, Dutch and French.
- You have strong negotiation skills and the ability to communicate complex legal concepts to non-legal stakeholders.
- You are stress resistant and can work under pressure, with an eye for detail and with tight deadlines in a fast-paced environment.
- You have strong analytical and problem-solving skills to navigate complex legal issues, and an ability to make reasoned decisions in high-stakes situations
- You have the ability to think strategically, drive results and provide sound legal advice aligned with business objectives.
- You constantly share and leverage knowledge and experience that could improve and streamline the Legal, Compliance and Risk Department processes and/or enhance its impact.
- You have a comprehensive business mindset with an interest in learning the business and a passion for helping it achieve its goals in a practical and compliant way, providing novel business compliant solutions to overcome legal and regulatory risks.
- You are able to work autonomously and as part of a team.
- You are a team player with excellent interpersonal and communication skills.
